Terms and Conditions

1. TERMS AND CONDITIONS:
1.1. Acceptance of Terms and Conditions: By applying to become a Licensed Purchaser, you accept these terms and conditions. If you do not accept these terms and conditions, you may not use the Website and will not be accepted as a Licensed Purchaser.
1.2. Definitions: In these terms and conditions, the following expressions have the following meanings:
“Authentic Pounamu” means Pounamu sold through the Website and includes any derivative product.
“Application Form” means the application form to be completed by any person wishing to become a Licensed Purchaser, in the form prescribed by Us or the Supplier from time to time.
“Brands” means “Authentic Greenstone”, “Authentic Pounamu”, “Ngai Tahu Pounamu”, ”Traceability System”, “Licensed Purchaser” together with such other registered and unregistered trademarks as may be added to these terms and conditions by Us by notice in writing to the Licensee from time to time.
“Brand Leverage” means any direct or indirect use of, or association with, the Brands, whether in connection with Authentic Pounamu or otherwise.
“Cost Recovery Levy” means the Cost Recovery Levy payable by you in respect of Authentic Pounamu as detailed on the Website.
“Licensed Purchaser” means a person who (a) has completed an Application Form to Our satisfaction; and (b) complies with the Qualifying Criteria and (c) has been accepted.
“Qualifying Criteria” means the qualifying criteria adopted by the Supplier from time to time in the Supplier’s absolute discretion, which may require (without limitation) that any person applying to become a Licensed Purchaser (a) has no convictions of any nature concerning Pounamu; and (b) intends to process any Authentic Pounamu purchased via the Website to a final, finished product for retail sales only.
“Online Sales” means the marketing and sale of Authentic Pounamu via the Website.
“Rules” means the rules of usage and brand guidelines, together with the rules for the Traceability System and rules and procedures for the sale and purchase of Authentic Pounamu, as issued and updated by us on the Website from time to time.
“Services” means any one or more of the services offered by Us via the Website from time to time, including online sales of Authentic Pounamu and any other service that Te Runanga may offer.
“Supplier” means Te Runanga o Ngai Tahu, Te Runanga o Makaawhio or any other Papatipu Runanga who has entered into an arrangement to sell Pounamu via the Website and who has appointed Te Runanga as its agent for the promotion and sale of Authentic Pounamu.
“Te Runanga” means Te Runanga o Ngai Tahu.
“Traceability System” means the traceability system designed by Te Runanga in conjunction with one or more Suppliers, for the traceability of Pounamu, details of which are available by clicking on this link www.authenticgreenstone.com.
“Website” means Te Runanga’s website(s) for the promotion and sale of Authentic Pounamu, comprising www.authenticgreenstone.com and such additional or alternative websites advised by Te Runanga from time to time.
“We”, “Us” and “Our” are a reference to Te Runanga.
“You” and “Your” are a reference to Licensed Purchasers.

2. SALE AND PURCHASE OF POUNAMU:
2.1. Licence: If accepted as a Licensed Purchaser We grant You a non-exclusive, non-transferable licence to purchase, use, process, market and sell the Authentic Pounamu, subject always to You complying with the Rules and the remaining provisions of these terms and conditions to Our satisfaction.
2.2. Services: We are providing a forum for Suppliers to transact the sale and purchase of Authentic Pounamu with Licensed Purchasers. We do not take any part in the sale of Authentic Pounamu other than as agent of Suppliers and by permitting Licensed Purchasers and Suppliers to access the Website and the Brands.
2.3. Licensed Purchaser:
  (a) Only Licensed Purchasers may purchase Authentic Pounamu via the Website.
  (b) You warrant that You have provided complete, accurate and current personal information when completing the Application Form and registering as a Licensed Purchaser. You must maintain and update Your personal information held by Us to ensure it is kept current at all times. You must not register as a Licensed Purchaser under multiple identities or personas (whether false or not).
  (c) If any information provided by You is or becomes false or you no longer meet the Qualifying Criteria for becoming a Licensed Purchaser then we may remove You as a Licensed Purchaser and the termination provisions of clause 5.4 will apply.
  (d) You are responsible for keeping your login information, including your email address, password and, secret and secure. Without limitation, You agree:
    (i) not to permit any other person to use Your user name and/or password; and
    (ii) not to disclose, or provide to any other person, Your password, email address, date of birth or any other information in connection with Your License that may allow them to gain access to the Website via Your License.
  (e) You are responsible for any actions taken through your Licensed Purchaser membership.
  (f) You must be located in New Zealand to purchase Authentic Pounamu via the Website.
2.4. Processing and Reselling Authentic Pounamu: You acknowledge that by becoming a Licensed Purchaser you accept any specific restrictions in respect of dealing with Authentic Pounamu which We may specify from time to time in order to protect the integrity of the Traceability System. In particular, You acknowledge that:
  (i) You must affix to all products derived from Authentic Pounamu, swing-tags supplied by Us in the manner We prescribe and return any unused swing tags to us;
  (ii) You must photograph all products derived from Authentic Pounamu and upload such photographs to the Website in the manner prescribed by Us;
  (iii) All products derived from Authentic Pounamu must be carved personally by You and finished within New Zealand;
  (iv) You must not on sell any Authentic Pounamu or purchase Authentic Pounamu on behalf of a third party (other than permitted retail/wholesale sale of finished products) or part with possession of any allocated swing tags; and
  (v) You may only on sell Authentic Pounamu products in finished form for retail or wholesale sale.
2.5. Grading of Stone:
  (a) To provide a consistent description of Authentic Pounamu we use a grading system designed by Us for this purpose. The grading system is intended as a guideline only. While We endeavour to provide consistent and accurate grading as to the quality of Authentic Pounamu, grading can only be based on that part of the Authentic Pounamu which is visually assessable.
  (b) All Licensed Purchasers are welcome to inspect Authentic Pounamu at the warehouse store prior to purchase.
  (c) We give no undertakings, representations or warranties in regard to:
    (i) the grade or quality of that part of the Authentic Pounamu which is not visually assessable at the time of grading;
    (ii) whether the Authentic Pounamu may or may not contain a fault or flaw not detectable prior to cutting or carving or is otherwise not consistent with the grading standard attributed to it by Us or is not of the quality or grade anticipated by You; or
    (iii) the appropriateness or otherwise of any item of Authentic Pounamu for your intended purpose or use or your expectations of the Authentic Pounamu.
2.6. Return of Authentic Pounamu:
  (a) Subject to the provisions of this clause, by purchasing Authentic Pounamu You accept the risk of the standard and quality of the Authentic Pounamu You select.
  (b) If, on receipt of the Authentic Pounamu, You do not accept the grading by Us correctly reflects the quality or grade of the Authentic Pounamu You may, at your own cost, return the Authentic Pounamu to Us provided that you have not cut into or altered the condition of the Authentic Pounamu in any way whatsoever. You accept all risk in the Authentic Pounamu until it has been received by Us in the same condition it was originally sent to You in.
  (c) Authentic Pounamu cannot be returned for any reason once it has been cut or otherwise altered in any way whatsoever.
2.7. Price: The price payable by the Licensed Purchaser to Us (as agent of the Supplier) for the Authentic Pounamu supplied will be such price (plus GST) as is displayed on the Website or as is otherwise advised by Us from time to time (exclusive of freight and associated delivery costs).
2.8. Cost Recovery Levy:
  (a) You agree to pay the Cost Recovery Levy in the amount and in the manner prescribed by Us (as set out on the Website) and not do or omit anything to avoid or reduce the amount of Cost Recovery Levy due to Us.
  (b) Cost Recovery Levy is payable within 30 days of uploading the relevant Authentic Pounamu work to the Website.
  (c) You must not purchase or attempt to purchase any Authentic Pounamu you have seen on the Website directly from a Supplier or otherwise seek to avoid any Cost Recovery Levy payable to Us pursuant to these terms;
2.9. Payment: Payment is required by You prior to You taking delivery of the Stone. Title to Pounamu supplied to You shall not pass until You have made payment in full.
2.10. Risk: Risk of loss or damage to any Authentic Pounamu shall pass to You immediately upon delivery of such Authentic Pounamu to You.
2.11. Tax: All tax obligations associated with the sale and purchase of Authentic Pounamu are the responsibility of the Supplier and the Licensed Purchaser.
2.12. Supply: We reserve the right to restrict the quantity of Authentic Pounamu We sell to You, to recognise that it represents a limited resource and that it is undesirable for one or more Licensed Purchasers to accumulate, or for a number of Licensed Purchasers to aggregate, large volumes of Authentic Pounamu to the detriment of other Licensed Purchasers or prospective Licensed Purchasers.
2.13. Future Supply: We provide no warranty or representation that We will be able and/or prepared to supply (as agent for Suppliers) Authentic Pounamu to You from time to time, or at all.
2.14. Additional Charges: While it is unlikely that any other costs will be introduced for the management of the Traceability System, We reserve the right to charge any additional charges or alter the Cost Recovery Levy rate as required or desirable to run the Traceability System in an efficient manner. If we introduce any new charges or alter the Cost Recovery Levy rate and you do not agree to pay such additional charges or altered Cost Recovery Levy rate you may elect to opt out of the Traceability Scheme at any time in accordance with the termination provisions in clause 5.1(c) .
2.15. Privacy: As a Licensed Purchaser, You agree to have your name and biography detailed on the Website and consent to Us using any imagery of You and/or Your Authentic Pounamu on the Website or in any marketing material.

3. TRACEABILITY SYSTEM
3.1. Use of Branding:
  (a) The Licensed Purchaser is granted a non-exclusive, non-transferable licence to:
    (i) use the Brands in the marketing and sale of Authentic Pounamu; and
    (ii) market and sell Authentic Pounamu via the Website (if/when this service is available).
  (b) In consideration of Us granting You the right to use the Brands, Brand Leverage and/or conduct Online Sales, You agree to comply with all rules in regard to use of the same, in particular:
    (i) Any use of Brands or Brand Leverage must only be used in conjunction with Authentic Pounamu purchased through the Website;
    (ii) Only promote yourself as a Licensed Purchaser in conjunction with Authentic Pounamu;
    (iii) Any other pounamu products You advertise for sale must be clearly distinct from the Authentic Pounamu;
    (iv) Only use, process, promote and sell the Authentic Pounamu in accordance with the Traceability System and any other instructions issued by Us from time to time;
    (v) Act in accordance with all reasonable instructions from Us and co-operate with Us to preserve and protect the goodwill associated with the Traceability System, the Brands and Authentic Pounamu;
    (vi) You shall not at any time during the continuance of these terms or after their expiration or termination, be a party to any act, matter or thing by which the goodwill in the Brands, Traceability System and/or the Website is compromised or otherwise diminished;
    (vii) Report to Us and provide to Us such information as We may require from time to time in connection with the arrangements contemplated by these terms and conditions;
    (viii) Grant Us and/or Our representatives reasonable access to Your premises and records, for the purposes of ascertaining whether You are complying with these terms and conditions and verifying any information provided to Us;
    (ix) Immediately notify Us of any actual or threatened infringement or unauthorised use of the Traceability System; and
    (x) Indemnify Us from and against any loss, damage, cost, expense or claim incurred by Us as a consequence of Your breach of these terms and conditions and/or any other act or omission by You and/or any person for whom You are responsible.
    (xi) Comply with all restrictions on the use of Brands and Brand Leverage.
3.2. Acknowledgment: You acknowledge that:
  (a) We are the sole owner of the Brands and the Website; and
  (b) the licence granted by these terms and conditions does not confer on You any right, title or interest in the Brands and/or the Website, other than the right to use the Brands and Website in connection with the promotion and sale of Authentic Pounamu and strictly in accordance with these terms and conditions.
3.3. Website obligations: You agree that:
  (a) You may not access the Website or information contained on it for any purpose other than to exercise Your rights as a Licensed Purchaser; and
  (b) You will not damage, interfere with or harm the Website or disrupt the Services, or attempt to do so.

4. DISCLAIMERS
4.1. Risk: Use of the Website, transactions and all other contact between Licensed Purchasers and Suppliers are conducted entirely at Your own risk. While We have taken care to ensure that the Website is up to date and accurate You agree that We have no responsibility or liability for any misconduct of any Suppliers or Licensed Purchasers. We give no undertakings, representations, or warranties in relation to Authentic Pounamu, including in relation to:
  (a) supplier’s ownership of Authentic Pounamu;
  (b) the description, quality or origination of Authentic Pounamu listed on the Website;
  (c) the grading of the Authentic Pounamu by Us or by the Supplier which is intended as a guide only;
  (d) the appropriateness or otherwise of any item of Authentic Pounamu in terms of Your requirements or expectations; or
  (e) the ability of Suppliers or Licensed Purchasers to complete a transaction.
4.2. Disclaimer: You acknowledge and agree that We:
  (a) make no representations or warranties of any kind, either express or implied, as to the accuracy, comprehensiveness or reliability of the Website (including, without limitation, all information and links on the Website);
  (b) reserve the right to change the Website at any time without notice;
  (c) do not assume any obligation to update, maintain or continue the Website;
  (d) neither endorse nor accept responsibility for the content of any third party website linked to or from the Website;
  (e) do not warrant that the Services will be uninterrupted, timely, secure or error free.
4.3. Liability: You agree that, to the maximum extent permitted by law, We:
  (a) disclaim any and all liability arising in connection with the Website and the Services, as well as any website linked to or from the Website; and
  (b) shall not be liable for any damages or loss whatsoever arising out of the use, access or inability to access the Website or any website linked to or from the Website, whether such liability arises in contract, negligence or otherwise. Our liability and responsibility is excluded in respect of any and all loss or damage, whether direct or indirect.
4.4. Indemnity: You agree to release, indemnify and keep Us indemnified from and against all actions, claims, costs (including legal costs and expenses), losses, proceedings, damages, liabilities, or demands suffered or incurred by Us to any person arising out of or in connection with Your failure to comply with these terms and conditions, or otherwise.

5. TERMINATION
5.1. Termination: These terms and conditions will terminate on the date that is the earlier of:
  (a) You ceasing to purchase and/or sell Authentic Pounamu for a period of 12 months or more unless otherwise agreed with Us;
  (b) You ceasing to comply with the Qualifying Criteria;
  (c) either party terminating these terms and conditions by giving 14 days notice in writing to the other party;
  (d) Us terminating these terms and conditions pursuant to clause 5.2.
5.2. Termination for Breach: These terms and conditions may be terminated by Us by written notice if We consider that You have breached, or are likely to breach, these terms and conditions and if You fail to remedy such breach (where capable of remedy) within 14 days of receipt of written notice from Us requiring You to do so.
5.3. Immediate Termination: We may immediately terminate these terms and conditions by notice in writing to You if, in Our opinion, You suffer or commit any act of insolvency.
5.4. Consequences of Termination: Upon the termination or expiry of these terms and conditions:
  (a) You will cease to be a Licensed Purchaser;
  (b) the licence granted by Us will immediately terminate;
  (c) You will immediately cease to:
    (i) use the Brands and the Website;
    (ii) conduct Online Sales;
    (iii) process and/or market for sale any Authentic Pounamu using or relying upon the Traceability System.
  (d) You must immediately return all unused swing tags or any other Branding merchandise or material to Us.

6. GENERAL
6.1. Dispute resolution: If a dispute arises out of or relates to these terms and conditions, the parties will endeavour to resolve the dispute by the use of mediation, without prejudice to any other rights held, prior to legal proceedings being commenced.
6.2. Assignment: You may not assign, transfer, sub-licence, alienate or otherwise dispose of (whether by operation of law or otherwise) Your rights or interests arising under these terms and conditions.
6.3. Partnership or Agency: Nothing in this terms and conditions shall create a partnership or agency between the parties unless expressly provided.
6.4. Variation:You acknowledge and agree that We may vary these terms and conditions (in whole or in part) at any time. Amendments will be effective immediately upon posting of the amended terms and conditions on the Website. Your continued use of the Website and/or Traceability System represents your agreement to be bound by the terms and conditions as amended.
6.5. Contracts Privity: You acknowledge that these terms and conditions are for the benefit of any Supplier who supplies Authentic Pounamu to You and for the purposes of the Contracts (Privity) Act 1982 You acknowledge that in respect of all benefits conferred upon Us pursuant to these terms, the same benefits are conferred upon the Suppliers, so that such terms and conditions confer legally enforceable benefits on such Suppliers.
6.6. Governing Law and Jurisdiction: These terms and conditions are subject to and shall be construed in accordance with New Zealand law and the Courts of New Zealand shall have non-exclusive jurisdiction in any proceedings relating to it.
6.7. Confidentiality: You will keep strictly confidential any confidential information concerning Us and/or Our business, to the extent such information may be acquired by You as a consequence of these terms and conditions.
6.8. No representations: You acknowledge that neither We, nor any person associated with Us has made any representation or warranty to You in respect of the Traceability System, Authentic Pounamu or otherwise.
